1. Scope and relationship
These Marketplace Terms ("Marketplace Terms") apply when you use the marketplace section of keygen-automotive.com and forum.keygen-automotive.com/market (together, the "Marketplace") operated by KEYGEN AUTOMOTIVE LIMITED, a company registered in England and Wales under company number 16638233 ("we", "us", "Keygen Automotive", "the platform"). They supplement and form part of our general Terms of Service; in case of conflict for marketplace activity, these Marketplace Terms prevail.
The Marketplace is a venue where independent third-party sellers ("Sellers") list digital products and services for sale to other users ("Buyers"). When you place an order, you enter into a contract directly with the Seller of the listed item. KEYGEN AUTOMOTIVE is not a party to that sale contract. We provide the platform, payment routing via Stripe, dispute handling, and dispute moderation, but the Seller is responsible for the goods or services themselves.
2. Buyer accounts
- You need a registered Keygen Automotive account (verified email) to place an order on the Marketplace.
- You must be at least 18 years old and have legal capacity to contract.
- You are responsible for all activity under your account. Keep your password confidential and notify us immediately of any unauthorised use.
- One person may hold one account. Attempts to abuse this limit (for example to leave fraudulent reviews or evade a suspension) may lead to termination of all related accounts.
3. Listings and product accuracy
Listings (title, description, images, downloads, price, category, delivery method) are created and maintained by the Seller. Sellers warrant to us and to Buyers that their listings are accurate and lawful. We do not pre-screen the substance of every listing but we may remove or hide listings that violate these terms, our Seller Agreement, or applicable law.
If you believe a listing is misleading, infringing, or unlawful you can report it from the listing page or by emailing support@keygen-automotive.com.
4. Placing an order
- Clicking Buy on a listing and completing payment in Stripe Checkout constitutes a binding offer to purchase at the displayed price.
- The contract with the Seller is concluded when payment is captured by Stripe and the order is recorded in our system (status paid).
- Prices are displayed in the currency chosen by the Seller (GBP, USD or EUR). Your bank or card issuer may apply foreign-exchange or cross-border fees that are outside our control.
- Where applicable, Value-Added Tax (VAT) or equivalent sales tax may be added at checkout, depending on the Seller's tax status and your location.
5. Payments and Stripe
All payments are processed by Stripe Payments UK Ltd under their Services Agreement and End User Terms. We do not store full card numbers or CVV codes; Stripe acts as our payment processor.
For each successful order, the Marketplace deducts a platform commission (currently 20% of the order subtotal, see the Seller's listing page for the exact figure at the time of purchase) and forwards the remainder to the Seller's Stripe-connected account. Disbursement timing depends on Stripe and on the Seller's country of registration.
Chargebacks initiated through your bank are handled per Stripe's dispute process. We may share order details, IP addresses, and communications with Stripe and with the Seller to resolve the dispute. Frivolous or fraudulent chargebacks may result in account suspension and recovery of related fees.
6. Delivery of digital goods
Most Marketplace items are digital deliverables (software, dumps, code calculators, technical files, consultation sessions). The delivery method is shown on each listing:
- Instant download: a download link becomes available in your purchases page immediately after payment, subject to per-listing download limits and expiry windows.
- Manual delivery: the Seller will contact you via the platform within the timeframe stated on the listing (typically up to 48 hours).
- Service call / consultation: the Seller will arrange a call or remote session per the listing's instructions.
By placing an order for digital content you expressly request immediate performance and acknowledge that you thereby waive your statutory right of withdrawal under the UK Consumer Contracts Regulations 2013 / EU Consumer Rights Directive once the content has been delivered. 7. Refunds and disputes
Refund eligibility, time windows and procedure are set out in our Refund Policy. In summary:
- Contact the Seller first via the product page comments or by replying to the order email.
- If you cannot reach a resolution within 7 days, open a dispute by emailing accounts@keygen-automotive.com with the order code (ORD-…).
- We may mediate, hide the listing, refund (in full or part) from the Seller's pending payouts, or — in extreme cases — debit a settled payout via Stripe's reversal flow.
- Our decision is independent of the Seller and is based on the evidence presented. It does not affect your rights under mandatory consumer-protection law.
8. Prohibited items and conduct
As a Buyer you agree not to:
- Purchase items for the purpose of vehicle theft, unauthorised access to vehicles you do not own, odometer fraud against consumers, or any unlawful purpose.
- Re-sell, repackage, mirror, or publicly redistribute downloaded files without the explicit written permission of the Seller.
- Submit false dispute or chargeback claims.
- Attempt to extract files from the Marketplace without paying (for example by scraping protected download links).
- Use bots, scripts, or automated tools against the Marketplace.
9. Reviews and community content
- You may post a review only for an order you have actually paid for (status paid or delivered).
- Reviews must be honest, factual, and free of personal attacks, harassment, or unlawful content.
- We may hide, remove, or edit reviews that breach these rules. Sellers may publicly respond once per review.
- Marketplace items also have an automatic discussion thread in the marketplace-talk forum category; posts there are subject to the forum rules.
10. No warranty from the platform
Keygen Automotive Limited provides the Marketplace "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee the accuracy, legality, safety, or fitness for purpose of any Seller's listing. We do not certify Sellers' professional qualifications. While we operate a moderation process, you are responsible for evaluating each Seller and product before purchase.
11. Limitation of liability
To the maximum extent permitted by law:
- We are not liable for any direct, indirect, incidental, consequential, or punitive damages arising from the Marketplace, a Seller's act or omission, or the use of any item purchased.
- Our aggregate liability for any claim relating to a single Marketplace order is limited to the platform commission we actually retained on that order.
- Nothing in these terms excludes liability that cannot be excluded by law (for example for fraud or for death/personal injury caused by negligence).
12. Account suspension and termination
- We may suspend or terminate your Marketplace access immediately, without notice, if you breach these Marketplace Terms, the Terms of Service, or applicable law.
- Pending download grants from orders you have already paid for remain accessible to the extent required by mandatory consumer-protection law, even where a Seller's shop has expired or been suspended.
- You may close your account from the dashboard at any time. Outstanding disputes and tax records may be retained for the period required by law.
13. Governing law and disputes
These Marketplace Terms are governed by the laws of England and Wales, without regard to conflict-of-laws principles. Any dispute is subject to the exclusive jurisdiction of the courts of England and Wales, except that consumers may bring proceedings in their country of residence where required by mandatory law.
EU consumers may also use the European Commission's Online Dispute Resolution platform; however, we prefer to resolve disputes directly via accounts@keygen-automotive.com (billing & refunds).
14. Changes to these terms
We may update these Marketplace Terms from time to time. Material changes will be announced by email or in your dashboard at least 14 days before they take effect. Continued use of the Marketplace after the effective date constitutes acceptance of the revised terms.
